Terms
Terms and conditions
Last updated 14 September 2026
The short version
- • Every project starts with a clear quote. Once you accept it and pay the deposit, we get baking.
- • You pay in stages: a deposit, then agreed milestones.
- • Advertising is paid monthly in advance — your ad budget plus our management fee.
- • Once you've paid in full, the website or app we made for you is yours.
- • If you're a consumer, nothing here takes away your legal rights.
About these terms
These terms are between you and Yellow Loaf Ltd (trading as yellowloaf), a company registered in England and Wales, company number 17424859, registered office Unit A1, The Embankment Business Park, Heaton Mersey, Stockport, SK4 3GN. “We” and “us” means Yellow Loaf Ltd; “you” means the person or business using our website or working with us.
The first part covers using yellowloaf.com. The rest applies when you work with us on a website, app, testing or advertising. If anything in your quote or proposal differs from these terms, the quote wins for that project.
Using our website
- You're welcome to browse, share and link to yellowloaf.com.
- Our logo, designs, illustrations, text and code belong to us. Please don't copy or reuse them without asking. Screenshots of client projects belong to the businesses concerned and are shown with their permission.
- We try to keep everything accurate and up to date, but the website is general information — your quote is what counts for your project.
- We link to other websites, including our clients'. We're not responsible for their content.
- Please don't misuse the site — for example, by trying to break its security or sending spam through our forms.
- How we handle information you send us is explained in our privacy policy.
Quotes and agreements
- Before any work, we send a written quote or proposal setting out what we'll deliver, the price, the payment milestones and rough timings.
- Quotes are valid for 30 days unless they say otherwise.
- Our agreement starts when you accept the quote (by email is fine) and we receive your deposit. For advertising, it starts when you accept and pay the first month in advance.
- The price is fixed for the work described in the quote — no surprises later.
Working together
We'll deliver the work described in your quote with care and skill, and keep you updated as we go.
To keep things on track, we'll need you to:
- send content, logins, images and information when we ask for them
- give feedback and approvals within a reasonable time
- have one main person who can make decisions for your side
If we're waiting on something from you, timings may move. If a project is paused for more than 60 days because we're waiting on you, we may invoice for the work completed so far.
Designs, changes and extras
- During the design stage we'll keep refining the designs with you until you're happy, before any building starts.
- Once you've approved the designs, new pages, features or significant changes count as extras. We'll tell you the cost first and only go ahead with your agreement.
Paying for projects
- Projects are paid in stages: a deposit before work starts, then invoices at the milestones in your quote.
- The final payment is due before the website or app goes live, unless your quote says otherwise.
- Invoices are due within 14 days.
- Prices are as shown in your quote. VAT is added where it applies.
- If a payment is late, we may pause work until it's paid. For business clients, we may also charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- Third-party costs (such as domains, hosting, plugins or stock images) are passed on at cost unless your quote says otherwise.
Advertising management
When we manage your Google Ads or Meta (Facebook and Instagram) advertising:
- You pay monthly in advance — the ad budget for the coming month plus our management fee. We pay the platforms from that budget.
- We won't spend more than your agreed monthly budget without your approval.
- If an advance payment is late, we'll pause your ads until it arrives.
- Any prepaid budget that isn't spent is carried into the next month, or refunded when our work ends.
- We'll report on how your ads are performing. Results depend on many things outside our control, so we can't guarantee a particular number of clicks, leads or sales.
- Google and Meta set their own prices, rules and approval decisions. We're not responsible if a platform rejects an ad, suspends an account or changes its policies — but we'll help you sort it out.
- You're responsible for making sure your ads, offers, claims and landing pages are accurate and legal, and that you're allowed to use any customer lists you give us.
- Either side can stop advertising management with one month's written notice.
Who owns the work
- Once you've paid in full, you own the designs, content and code we created specifically for you. Until then, you may use it only with our permission.
- We keep ownership of our own tools, templates and general know-how that we use across projects, and give you a permanent licence to use any of it that's built into your website or app.
- Some parts come from other people — like fonts, plugins, software libraries, stock images and platforms — and are covered by their own licences.
- We may show the finished work in our portfolio and marketing. If your project is confidential, just tell us and we won't.
Your content
You're responsible for the content you give us — text, images, logos, product details and so on. You confirm you have the right to use it, and that it's accurate and lawful. We may refuse to publish anything we reasonably believe is unlawful or harmful.
Hosting and third-party services
- Wherever possible, domains, hosting, app store and advertising accounts are set up in your name, so you stay in control.
- We rely on third-party services such as hosting providers, Google, Apple and Meta. We're not responsible for their outages, price changes or decisions, though we'll help if something goes wrong.
- We can't guarantee that an app will be approved by the App Store or Google Play, as those decisions are theirs.
Testing, launch and support
- We test everything on real devices and browsers before launch, and you get to check it too.
- If you find a bug caused by our work within 30 days of launch, we'll fix it free of charge.
- After that, updates, new features and ongoing support are available under a separate support agreement or quote.
Ending our work together
- Either of us can end a project by giving written notice. You'll pay for the work done up to that point, and any costs we can't cancel.
- We may end the agreement straight away if you don't pay what you owe within 30 days of a reminder, or seriously break these terms.
- When our work ends, we'll hand over what you've paid for and remove our access to your accounts.
- If you're a consumer (buying for yourself, not a business) and agreed the work without meeting us, you normally have 14 days to cancel. If you ask us to start within that time, you'll pay for the work done before you cancel.
Our responsibility to you
- Nothing in these terms limits our responsibility for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit.
- For business clients, we're not responsible for indirect losses, or for loss of profit, sales, business or data. Our total responsibility for any project is limited to the amount you paid us for it in the 12 months before the claim.
- If you're a consumer, we're responsible for foreseeable loss caused by our breaking these terms or failing to use reasonable care and skill, and your legal rights are not affected.
- Please keep your own backups of important content and data.
Confidentiality and data
We keep your business information confidential and only use it to do our work for you. When we handle personal information on your behalf — for example, in your website, app or ad accounts — we act on your instructions as your data processor. Our privacy policy explains how we handle personal information.
Things outside our control
We're not responsible for delays or failures caused by events outside our reasonable control, such as major internet or platform outages, extreme weather or illness. We'll let you know and do our best to keep things moving.
The legal bit
- We may update these terms. Changes won't affect a project already agreed unless you accept them.
- If any part of these terms can't be enforced, the rest still applies.
- These terms are governed by the law of England and Wales, and disputes will be dealt with by its courts. If you're a consumer living elsewhere in the UK, you can also use your local courts.
